SINGLE DEVELOPER END-USER LICENSE AGREEMENT FOR Imsys SNAP Firmware.
This Imsys End-User License Agreement is a legal AGREEMENT between you, ("Assignee") (either as a registered individual developer or as the registered developer/representative and on behalf of a single entity) and Imsys AB ("Assignor") for the Imsys software product identified above, which product includes computer software and may include associated media, printed materials, and "online" or electronic documentation. By installing, copying, or otherwise using the software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, then DO NOT install or use the software, you may, however, return it to your place of purchase for a full refund or, if you access the software electronically, select the "DISAGREE" button at the end of this Agreement.
1. Grant of license. You, the Assignee obtains a non-exclusive, non-transferable limited license to copy the Imsys SNAP firmware ("ISF") for your own use only for the only purpose of development of your application software ("program") on the Imsys SNAP module. This license gives you the right to install, use, and run the ISF on one computer. You have no right to redistribute parts of or the entire ISF, either separately or as part of any program.
2. Redistributables. In addition to license granted in Paragraph 1 (for your own use only) Imsys AB grants you a non-exclusive, non-transferable, limited license to reproduce and distribute the ISF only if it is bundled with your application software (The Software) and used with an Imsys micro processor under the following conditions.
- You agree to only distribute The Software under a license agreement that protects all rights of Imsys AB related to the ISF.
- You agree to defend and indemnify Imsys AB and its licensors from and against any liabilities, costs, damages, settlements and/or expenses (including attorney fees) incurred in connection with any claim or lawsuit by any third party that arises from the use of The Software and or the ISF.
- You agree to not remove or change any proprietary legends or notices in the ISF.
- You agree to not make the ISF in part or in whole available on an Internet web site.
- You agree to in connection with the re-export of The Software or other product in which The Software is a component part to obtain the necessary licence and to comply with the regulations in force.
3. Separate distribution license. You agree that you will have to obtain an additional license from Imsys before you may reproduce or modify any part of the ISF other than what is provided for in paragraph 2, in this agreement.
4. Restrictions. Title to the ISF and all associated intellectual property rights are retained by Imsys and/or its licensors. You may not resell, or otherwise transfer for value, the ISF. You do not have the right to generate the source code neither in full or in part by means of analysis or any other method. You do not have the right without written consent and on the terms and conditions stipulated, in full or in part alter the ISF software, documentation, specification or any back-up copies. You may not lease, lend or rent the ISF.
5. Trademarks and copyrights. This software product, ISF, is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The software is licensed, not sold. This license Agreement does not grant you any rights in connection to any trademarks or copyrights of Imsys AB. All title and copyright in and to the materials and documentation, electronically supplied or printed, is owned by Imsys AB, unless otherwise stated in the source code.
6. Termination. This agreement is effective until terminated. This agreement will terminate with immediate effect, without notice from Imsys, if you should not comply with any of the terms of this agreement. You have the right to terminate this agreement at any time. Upon termination of this license agreement you must destroy all copies of the ISF.
7. Imsys limitation of liability. Imsys AB do not have any liability to pay any compensation whatsoever, neither for personal injury, damage to property, loss of earnings, loss of production or any other financial loss or indirect loss, arising out of the use or inability to use the ISF software.
8. Limited warranty. This software is provided "as is". No warranty is given.
9. Miscellaneous. This agreement is the only agreement between you and Imsys AB related to the subject matter. Any modifications to this agreement must be made in writing and signed by an authorized representative of Imsys AB and you. This agreement is governed by and construed in accordance with the laws of Sweden. All disputes arising from this Agreement will not be brought before any court but shall be resolved instead by arbitration in Stockholm according to the rules of the International Chamber of Commerce by a sole arbitrator appointed in accordance with the said Rules. The proceedings shall be conducted in the English language. The ruling is agreed to be final and binding.
